These Terms and Conditions (“Terms”) are a legally binding contract between i2Biz Pty Ltd and you (the “Customer”), as a user of or subscriber to i2Biz Pty Ltd SEO Services (“Services” or “SEO”).
By using i2Biz Pty Ltd, you accept all the terms and conditions of the Terms. Your continued use of our Services after any changes have been made will signify your assent to the changed Terms.
i2Biz Pty Ltd offers the service to you conditioned on your acceptance without modification of this agreement. Your use of the Services constitutes your acceptance of this agreement. This agreement contains disclaimers of warranties and liability.
- i2Biz Pty Ltdwill provide Customer with Search Engine Optimization Services (hereinafter referred to as “SEO”) as described in these Terms. i2Biz Pty Ltdwill use a combination of local listings, analytics and mark-up (depending on the SEO plan that the Customer selects) to improve the Customer’s online presence.
- Each month’s costs must be paid in full prior to the start of that month’s SEO Services. All fees are non-refundable. i2Biz Pty Ltd is not obligated to provide the Customer a refund at any time.
Additional Services not listed herein (such as managing pay-per click campaigns, copywriting, etc.) may be available for an additional cost. Any Services not explicitly agreed to within the Terms will not be performed for the price agreed upon, without a written agreement to amend this document or a separate Agreement.
SEO Methods and Warranties
i2Biz Pty Ltd has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Customer’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, i2Biz Pty Ltd does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.
Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist. i2Biz Pty Ltd assumes no liability for ranking/traffic/indexing issues related to Google penalties.
Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO.
Linking to “bad neighbourhoods” or getting links from “link farms” can seriously damage all LOCAL SEO efforts. i2Biz Pty Ltd does not assume liability for the Customer’s choice to link to or obtain a link from any particular website.
i2Biz Pty Ltdis not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Customer’s website. i2Biz Pty Ltd is not responsible for the Customer overwriting SEO work to the Customer’s site. (e.g., Customer/webmaster uploading over work already provided/optimized).
Authorization and Responsibilities
The Customer guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to i2Biz Pty Ltdfor inclusion on the website above are owned by the Customer, or that the Customer has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend i2Biz Pty Ltdand its subcontractors from any liability or suit arising from the use of such elements.
You acknowledge that the Services detailed in the Terms involve sending location data to third party location listing providers who will then have the right to use this data in any way they wish, and that i2Biz Pty Ltd has no control over this data once it is pushed to third parties.
You acknowledge that location data aggregators and business listing services are not obligated to accept your listing, or any or all of the information you submit via i2Biz Pty Ltd related to a business location.
You acknowledge that i2Biz Pty Ltd reserves the right to change the mix of business listing services in current and future Terms at our discretion.
Agreements and Access
The customer agrees to grant access to personnel and information necessary for completion of the project.
The customer also agrees to provide timely input, feedback and assistance as needed to complete the tasks outlined in the Terms in an efficient and timely manner. The customer understands that lack of active and timely participation of the customer does not constitute grounds for non-payment of the fee in whole or part or the dishonouring of any project invoices.
If, during the course of the execution of the project, i2Biz Pty Ltdand the customer agree to modify the nature and scope of the project, i2Biz Pty Ltd and the customer will execute either: a written amendment to the existing Terms or a new Term Sheet describing the nature, scope and related costs of the revised project and there shall be a binding agreement on both parties.
